1. Agreement to Terms
By accessing or using the Private Reps website and services ("Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you disagree with any part of the terms, you may not access the Service.
2. Content Ownership and Licensing
User Content: You retain all ownership rights to the text, graphics, videos, training materials, and other content ("Content") you post, upload, or otherwise make available on the Service.
License to Private Reps: By posting Content, you grant Private Reps a non-exclusive, worldwide, royalty-free, transferable license to use, store, display, reproduce, modify, create derivative works from, and distribute your Content solely for the purposes of operating, developing, providing, and using the Service. This includes the right to share your Content with Coaches or Users you specifically interact with for analysis purposes.
3. User Responsibility
You are solely responsible for the Content you post and any consequences thereof. You represent and warrant that:
- You own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use your Content.
- Your Content does not infringe the intellectual property rights, privacy rights, or other legal rights of any third party.
- You will not post Content that is libelous, defamatory, obscene, or otherwise illegal.
Private Reps does not endorse any Content submitted by users or any opinion, recommendation, or advice expressed therein. We expressly disclaim any and all liability in connection with User Content.
4. Prohibited Content and Conduct
You agree not to post Content or engage in conduct that:
- Is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of another's privacy.
- Promotes discrimination, hatred, or violence against individuals or groups.
- Contains nudity, sexually explicit material, or depicts sexual violence.
- Infringes on any patent, trademark, trade secret, copyright, or other proprietary rights.
- Contains software viruses or any other computer code designed to interrupt, destroy, or limit the functionality of the Service.
- Involves commercial activities or sales without our prior written consent, such as contests, sweepstakes, barter, advertising, or pyramid schemes.
5. Right to Remove Content
Private Reps reserves the right, but not the obligation, to monitor and review Content. We reserve the right to remove, edit, or refuse to post any Content for any reason, including Content that we believe violates these Terms or our Community Guidelines, without prior notice or liability.
6. Indemnification
You agree to defend, indemnify, and hold harmless Private Reps, its parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms or the documents they incorporate by reference, or your violation of any law or the rights of a third party, or your Content.
7. Dispute Resolution
Informal Resolution: For any dispute with Private Reps, you agree to first contact us and attempt to resolve the dispute with us informally.
Arbitration: If a dispute cannot be resolved informally, it shall be resolved by binding arbitration. You agree to waive any right to a trial by jury or to participate in a class action lawsuit.
Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Private Reps operates, without regard to its conflict of law provisions.
8. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Private Reps makes no representations or warranties of any kind, express or implied, as to the operation of the Service or the information, content, materials, or products included on the Service.
9. Limitation of Liability
In no event shall Private Reps be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of your use of the Service, your inability to use the Service, or any Content posted on the Service.
10. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
